This Invitation for Tenders follows the General Procurement Notice for this project first published on the European Bank for Reconstruction and Development (EBRD)'s website on 16 June, 2008 and recently updated on 16 June, 2009. EBRD is one of several co-financiers on the project to rehabilitate the Borjomi water system. EBRD Procurement Policies and Rules as modified by certain exceptions established in an agreement between Millennium Challenge Georgia Fund ("MCG") and EBRD, dated December 1, 2008 (the "Parallel Financing Cooperation Agreement") shall govern this tender.

Pursuant to the Grant Agreement dated December 1, 2008 ("the Grant Agreement"), the Municipal Development Fund ("MDF"), hereinafter referred to as "the Employer" has received a Grant (the "MCG Grant") from MCG and intends using the part of the proceeds of the MCG Grant towards the cost of Borjomi Water Project (Rehabilitation of Gujareti and Sadgeri Headworks and Water Main to RWTP) (the "Project"). Tendering process and contract implementation will be carried out by MDF.

The Employer now invites sealed tenders from contractors for the following contract to be funded from the MCG Grant and including the following:

The project envisages rehabilitation of Borjomi Water supply system, in particular:

1. Rehabilitation of Sadgeri pumping station and pressure pipeline, including:

- Repair works of PS building, regulating and catchment reservoirs and power supply system;

- Installation two sets of pumps Q=144m 3/hr H=85m and two sets of pumps Q=36m 3/hr H=85m with motors, electrical and automation equipment;

- Rehabilitation of two lines D=273/7 mm steel pressure pipeline with total length 520 m;

2. Construction of new water intake at Gujarula River

- Reinforced concrete weir with bottom intake gallery – 252 m 3 concrete works including installation of steel parts and mechanical equipment, as well as downstream protection by rip-rap – 263 m 3;

3. Construction of water main from headworks to pk 151+47. Steel pipeline 406.4/5 mm with external and internal anticorrosive protection, total length is 15147 m, including related earth works and installation of fittings, valves – 63 units, inspection wells d=1-1.5m - 38 units, inspection wells d=2 m - 3 units).

The Works are located in the East Georgia and comprise environs of Borjomi 160 km west from Tbilisi. Headworks of Borjomi Water Supply System are located south from Borjomi at 20 km distance in Gujarula River gorge. Borjomi is connected with the Trans-Caucasian railway by Akhaltsikhe-Khasuri railway line and with regions in Georgia – by the asphalt highway.

Access to the site is possible via local asphalt and gravel roads.

The envisaged period of Works completion: 14 months.

Tendering for contracts to be financed with the proceeds of the MCG Grant is open to firms from all countries , subject to the following exceptions: MCG Grant funding will not be used for the purpose of any payment to persons or entities, or for any import of goods, if, (i) as a matter of law or official regulations, Georgia prohibits commercial relations with the country of their nationality, provided that MCG is satisfied that such exclusion does not preclude effective competition for the supply of goods or the contracting of works required; (ii) such payment or import is prohibited by Georgia in compliance with a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations; (iii) anyone or any entity debarred or suspended from participation in procurement funded by the US Federal Government or otherwise prohibited by applicable United States law or Executive Order or United States policies, including under any then-existing anti-terrorist policies.

Tenderers are invited to submit a tender for the total Contract.

To be qualified for the award of the Contract, Tenderers must satisfy the following minimum criteria:

(a) The Tenderer has an average annual turnover over the last three years of not less than USD 5,600,000 equivalent.

(b) Successful experience as prime contractor in execution of at least one project of a nature and complexity comparable to proposed contract within the last 5 (five) years.

(c) The Tenderer shall demonstrate that it has access to credit and other financial means sufficient to meet the construction cash flow for the duration of the Contract. The amount of such credit and other financial means should be not less than USD 950,000 equivalent.

(d) The Tenderer should demonstrate his strong financial position and long-term profitability by providing audited balance sheets and profit and loss statements for last three years.

(e) The Tenderer must have suitably qualified personnel to fill the following key positions: the proposed construction manager shall have not less than 10 years total experience, 7 years experience of similar work, and 5 years in a similar position.

(f) Litigation and arbitration record over the last five years which does not indicate a consistent history of awards against the Tenderer.

(g) The Tenderer shall own, or have assured access to (through hire, lease, purchase agreement, availability of manufacturing equipment, or other means) equipment essential for carrying out the works, as per details provided in the tender documents, in full working order, and must demonstrate that, based on known commitments, they will be available for use in the proposed contract.

Joint ventures must satisfy collectively criteria for personnel (e) and equipment capabilities (g) and financial position (a and c) stated above, for which purpose the relevant figures for each of the partners shall be added to arrive at the joint venture's total capacity. Individual members must each satisfy the requirements for audited balance sheets (d) and litigation (f).

The lead partner shall meet the requirement for successful experience (b) and not less than 40 percent of all other qualifying criteria for general experience (a) and financial position (c) specified above. The other partners shall meet not less than 25 percent of the qualifying criteria for general experience (a) and financial position (c) specified above.

Georgian registered tenderers, subcontractors and joint venture partners must provide Statement of Georgian Tax Administration about absence of indebtedness in taxes for the last two years.

Tender documents may be obtained from the office at the address below upon payment of a non-refundable fee of GEL 200 or equivalent in a convertible currency plus currier expenses if a Tenderer would like the Tender documents to be sent by Courier. If requested, the documents will be promptly dispatched by courier, but no liability can be accepted for loss or late delivery. A copy of the purchased tender documents may be forwarded to the contractors by e-mail.

All tenders must be accompanied by a tender security of not less than to USD 80,000 (eighty thousand) and in the form described in the tender documents.

A pre-tender meeting for the interested Tenderers to receive additional clarifications will be conducted at the address Room 413, 150 David Aghmashenebeli Avenue, 0112, Tbilisi, Georgia, at 11:00 a.m., July 1, 2009.

Tenders must be duly completed and delivered to the office at the address below on or before August 3, 2009, 12.00 (Tbilisi time), at which time they will be opened in the presence of those Tenderers' representatives who choose to attend. Documents, which are received late, will be rejected and returned unopened.
